Everything Legal

Founder

This workshop takes a deep dive into two critical aspects of protecting and enhancing the value of your emerging business. Part I focuses on corporate structures, stock distribution, and the 15–20 essential legal contracts that most startups need to develop by the time they begin issuing stock, hiring employees, and generating revenue. Part II concentrates on safeguarding intellectual property (IP) assets through trademarks, patents, and related strategies

Part I: Launching a startup often involves navigating complex issues such as creating a “cap table,” fairly distributing equity among co-founders, selecting the optimal legal entity (e.g., C-corporation vs. LLC), and implementing rigorous corporate governance from the start—ensuring these factors don’t become barriers to future funding. This segment covers the legal documents you’ll need to support your business and protect its value, ranging from employee agreements to end-user license agreements.

Part II: Learn from three seasoned attorneys how to build a formidable shield around your IP. We’ll discuss comprehensive brand protection—from trademarks and domain names to trade secrets—as well as strategies for structuring licensing agreements, especially for software companies that rely heavily on this revenue stream. Finally, we’ll explore the evolving landscape of patents, including considerations for AI and machine learning innovations.

Drawing on the expertise of a veteran serial entrepreneur, a seasoned startup lawyer, an accomplished IP strategist, and a highly experienced patent attorney, you’ll discover various methods to safeguard and enhance your enterprise’s value from inception through exit. By the end of this workshop, you’ll walk away with a detailed checklist of essential legal documents, required filings, tax optimization strategies for investors and founders, IP protection measures, and best practices to minimize business risks.
